Draft — not yet reviewed by a lawyer. The refund and cancellation terms in particular are placeholders: they are a commercial decision, not a technical one, and Singapore consumer protection law sets a floor. Placeholders are marked in bold.
Who you are dealing with
Sobremesa Wine Pte. Ltd., UEN 202633623Z, registered in Singapore and licensed to sell liquor under Class 3A Liquor Licence No. [licence number]. Taking a seat means accepting these terms.
You must be 18 or older
We sell alcohol. You must be 18 or older to join, to buy, and to receive a delivery. It is an offence to supply liquor to persons under 18 in Singapore.
We ask for your date of birth when you join and ask you to confirm your age at every checkout. A date of birth under 18 closes the account, permanently. Photographic ID is checked on delivery, and if nobody of age is present the bottles return to the vault. Giving us a false date of birth is grounds for closing your account and keeping nothing you have not paid for.
Membership
Membership is free. There are three kinds, and which one you hold decides when an allocation opens to you:
- The Table — anyone 18 or older may join. Buys freely from the shelf; the last window on allocations.
- Primera Mesa — by invitation from a founder only. The second window. A Primera Mesa member cannot pass an invitation on.
- Founder— fifteen seats, by invitation from us, settled at the founding dinner. The first window. A founder’s name and seat number are written to the Founding Ledger, which is permanent and never edited.
Seats are personal. You may not transfer, sell or lend your membership or your seat number.
Points and standing
You earn one point for each whole Singapore dollar spent on wine from the shelf and on Session tickets. Points let members of The Table claim allocated wine, which also costs points as well as money.
Points are not money. They have no cash value, cannot be bought, sold, transferred or exchanged for cash, and are not property. They are a record of participation, nothing more. We may correct a points balance where it is wrong, and we keep a record of every correction, why it was made and who made it.
Your standing — Joven, Crianza, Reserva, Gran Reserva — follows the points you have earned over your whole membership; spending them does not take standing away. Standing is recognition. It does not entitle you to a discount, an earlier window or an extra guest chair.
If your account closes, any points remaining go with it and are not refundable.
Buying, and allocations
One price, plainly stated, in Singapore dollars, inclusive of GST where it applies. An order is a request until we accept it; if a wine turns out to be unavailable we will tell you and refund you in full.
Allocated wine is limited. There is a cap per member, windows open in the order set out above, and when the bottles are gone they are gone. We may adjust or cancel an allocation before it opens.
Your bottles, and the vault
Ownership of a bottle passes to you when we have been paid for it. After that it is yours, not ours.
Unless you ask for delivery, your bottles rest at Singapore Wine Vault on your behalf. We arrange that storage; we do not charge you for it [confirm: is storage free indefinitely?]. Your bottles are held as your property and are recorded against your name. We are not the insurer of your bottles; the vault maintains its own cover for wine in storage, and you may wish to satisfy yourself it is adequate.
You may call for your bottles at any time and we will arrange delivery. Delivery is within Singapore only.
Cancellations and refunds
[To be decided. A workable starting point: wine may be cancelled for a full refund any time before it leaves the vault; once dispatched it cannot be returned unless faulty. Session tickets are refundable up to 14 days before the Session and not after, because the room and the wine are paid for in advance. Guest chairs are released back to your quarterly allowance if you cancel in time.]
Nothing here limits your rights under the Consumer Protection (Fair Trading) Act or the Sale of Goods Act. If a wine is faulty or not as described, tell us and we will put it right.
Sessions
Chairs are limited and are held when paid for. Founders may bring three guests a quarter, Primera Mesa two, The Table one. A guest chair generates an invitation in your guest’s name; you are responsible for making sure they are 18 or older and content for you to give us their details.
If we have to move or cancel a Session, we will offer you a place at the next one or a refund.
Not for resale
Wine bought here is for you and the people at your table. You may not resell it. Reselling requires a licence you probably do not hold, and it is grounds for closing your account.
Leaving, and being asked to leave
You may close your account whenever you like. Bottles you have paid for remain yours and we will arrange delivery.
We may close an account that breaks these terms — a false date of birth, resale, or behaviour at a Session that makes the table worse. If we do, you keep what you have paid for.
Changes, and the law
We may change these terms. If a change matters, we will tell you before it takes effect. These terms are governed by Singapore law and the Singapore courts.
